Terms and Conditions 

INTRODUCTION 

These Terms and Conditions (the “Terms”) apply to the Prudential Emerging Visionaries program (the “Program”) created by Prudential Financial, Inc. and its subsidiaries (“Prudential”) and Ashoka (collectively the “Program Partners”). 

DEFINITIONS 

Applicant” or “Participant” refers to any individual that makes an eligible submission through the Service with the intention of participating in the Program. Within these Terms, the Applicant or Participant may also be referred to as “you” or “your”. 

Awards Jury” refers to the individuals selected, in the sole discretion of the Program Partners, to judge the Entries, which may include Program Partner employees or members of their larger networks or others who are not employed by or otherwise affiliated with the Program Partners. 

Applicant Information” refers to Personal Data and Sensitive Personal Data contained in an Applicant’s Entry or in a prospective Applicant’s proposed entry through the Service. 

Entry” refers to any eligible submission made by an Applicant through the Service that contains relevant information, including Personal Data or Sensitive Personal Data, for the purposes of participating in the Program. 

Personal Data” refers to any information that relates to an identified or identifiable natural person. 

Sensitive Personal Data” refers to Personal Data revealing racial or ethnic origin, political opinions, religious or philosophical beliefs, trade union membership, genetics, biometrics, health and disability information, immigration / refugee status and information regarding a person’s sex life or sexual orientation and how they gender identify. 

Service” refers to https://challenges.changemakers.com/challenge/emergingvisionaries hosted by WeChangers, and affiliated websites or services that are used and operated for the purpose of executing or administering the Program. 

DATA PROTECTION 

The information you submit through the Service will be held, used, and disclosed to others. When you submit Applicant Information to the Service, you are directing and consenting to it being submitted to each of Prudential (the sponsor of the Program), Ashoka (the administrator of the Program as well as other programs), and WeChangers (the host of the Service), for each of their use pursuant to their own privacy policy. Applicant Information will be accessible by Prudential, Ashoka and the host of the Service (WeChangers).  

Please take note that: 

(A) your username (which may be your full name if you elected to use your name to create your username), profile photo, city and state and the identity of other communities at changemakers.com that you are a member of may be visible to other Applicants at the Program Community space; and 

(B) your username, the cover image for your project, your profile photo, your project title, summary, sector, theme, focus, stage, URL, social media handles, location of impact and other information about your project that you add in your application’s "About Your Project" form will be visible by other Applicants, as well as by the general public.  

Exclusively in the review phase, in order to evaluate your Entry, the Awards Jury for all review phases and the peers joining community review activities will have access to the information described in (A) and (B) above, as well as to your pitch video, if you submit one on the Service.  

For some of the information described in (A) and (B) above, you can control whether that information is viewable by other Applicants and the general public in your account settings by logging in into the Program platform, accessing the community and going to "Settings" in your user menu. Your username, “About Your Project” narrative, and Cover Image will be viewable by other Applicants and the general public and you will not be able to modify the “Settings” on these items.

Each of the Program Partners may share Applicant Information with its third-party service providers in connection with operating the Program, and as otherwise provided in the Program Partners’ posted privacy policy. To the extent permitted by applicable law, Ashoka may use Applicant Information to inform Applicants of information related to the Program (including future year’s programs or related alumni events), Ashoka initiatives similar to the Program, funding opportunities that come through partners and universities, media opportunities with key thought leaders, and scholarship opportunities from within Ashoka’s network. Prudential, or its third-party service providers acting on its behalf, may contact Applicants or their parent / guardian after the Program to notify you of future challenges offered by Prudential or alumni events related to the Program. Each Program Partner seeks to use reasonable measures to protect the Applicant Information within its own organization. Neither is responsible for the acts or omissions of the other, nor of WeChangers or of any other third party. 

Applicant Information will be held and processed by the Program Partners during the duration of the Program and may be retained by the Program Partners for as long as required or permitted under applicable laws. Applicants, and parents or guardians of Applicants, can request access to, modification of, or deletion of any of their Applicant Information, to the extent permissible under applicable data protection laws, by contacting Ashoka via email at [email protected].  

The Program Partners may disclose certain information about Winners (as defined below), such as their names, photos, and biographical and project information, to the public in recognizing these Winners and in connection with promoting the Program. 

AGE REQUIREMENTS AND PARENT/GUARDIAN CONSENT 

The Program is open to individuals who are between the ages of 14 and 18 when applying, and not older than 18 by the end of Entry period (November 4, 2021). This age requirement supersedes any contradictory age requirement set forth in the Ashoka Terms of Service or WeChangers Terms of Service.  

No Applicant shall submit an Entry until their parent or legal guardian has consented to the submission of their Entry and reviewed these Terms, as well as Prudential’s Online Privacy Statement at https://www.prudential.com/links/emerging-visionaries-privacy-statement, Ashoka’s Changemakers’ Privacy Policy at https://www.changemakers.com/privacy and WeChangers’ Privacy Policy at https://wechangers.org/en/pages/privacyBy submitting an Entry, you affirmatively state that your parent or guardian has provided such consent and that you have provided an accurate email address for the Program Partners to contact your parent or guardian. As part of the application process, the Program Partners will contact your parent or guardian by email to inform them of your Entry and provide additional information about the Program and the Terms and Conditions which you have agreed to as part of your Entry into the Program. 

PARTICIPATION REQUIREMENTS AND AGREEMENTS 

Participant must be a legal resident of the United States or Puerto Rico. Entries must be submitted in English and an Applicant is not allowed to submit more than one application. 

By submitting an Entry, the Applicant agrees to be bound by these Terms and by the decisions of the Program Partners, which are final and binding on all matters pertaining to the Program. Prizes are awarded in the sole discretion of the Program Partners and without warranty of any kind from the Program Partners or any of their affiliated companies, express or implied, without limitation, except where this would be contrary to applicable law or regulation. 

To the extent permitted by law, each Applicant agrees to hold the Program Partners, their subsidiaries, parents, agents, directors, officers, employees, representatives and assigns harmless from any injury, damage, expense, or loss caused or claimed to be caused by participation in the Program or use or acceptance of any Prize awarded, except to the extent that any death or personal injury is caused by the negligence of a Program Partner. The Program Partners are not responsible for any typographical or other error in the printing or posting of any materials related to the Program, in the administration of the Program or in any announcement relating to the Program. An Applicant may be prohibited from participating in the Program if, in the Program Partners’ sole discretion, they reasonably believe that the Applicant has attempted to undermine the legitimate operation of the Program, including by cheating, deception, or other unfair practices or annoys, abuses, threatens or harasses any other Applicants, Program Partners, or their employees, agents or associated parties. 

To the maximum extent permitted by law, by submitting an Entry, each Applicant agrees to indemnify and hold harmless the Program Partners, their subsidiaries, parents, affiliates, agents, directors, officers, employees, representatives and assigns, at all times, from and against any liability, actions, claims, demands, losses, damages, costs and expenses for or in respect of which the Program Partners will or may become liable by reason of or related or incidental to any act, default or omission by an Applicant, including without limitation resulting from or in relation to any breach, non-observance, or act or omission whether negligent or otherwise, in contravention of these Terms by such Applicant. 

“Prudential Spirit of Community National Honorees” and “Prudential Spirit of Community State Honorees” are NOT eligible to apply to the Program.  

Employees (and their children and grandchildren) of Prudential, Ashoka, and the Financial Health Network or any of their respective affiliates and participating advertising and promotion agencies are NOT eligible to apply to the Program. 

PROGRAM PRIZES  

Each of the winners of the Program, as determined by the Awards Partners in their sole discretion (the “Winner(s)”) will receive an investment, which may be up to $16,000, as a prize (the “Prize”) as described below.  

  • Early Entry Prize: All Participants with eligible Entries submitted by September 30, 2021 (11:59PM EDT) will automatically be considered for an Early Entry Prize, and will receive Ashoka’s feedback on how to improve their application before the end of the overall Awards application deadline (November 4, 2021). Two (2) Participants from this group will be selected by the Program Partners to receive a $1,000 Early Entry Prize each. 
  • Prudential Emerging Visionaries Winners:  
    • Twenty-five (25) final winners will receive $5,000 each — twenty (20) of these winners will be selected from the Societal Solutions category and five (5) winners from the Financial Solutions category. 
    • The five (5) final winners from the Financial Solutions category will be invited to join a “pitch”-off at the Prudential Emerging Visionaries Awards Summit at Prudential's headquarters. From there, one (1) of them will be selected as the Financial Solutions Grand Prize Winner and will receive an additional $10,000 grand prize. 
    • One (1) final winner of either category (Societal Solutions or Financial Solutions) will also receive the Prudential Employees' Choice Award—an additional $5,000, to be awarded at the Prudential Emerging Visionaries Awards Summit at Prudential's headquarters. The Financial Solutions Grand Prize Winner is not eligible to win the Prudential Employees’ Choice Award. 
  • The aggregate value of the Prizes for all Winners will not exceed $142,000. 

The 25 final Winners receive an invitation to participate in the Prudential Emerging Visionaries Awards Summit (which is all-expense-paid trip for each Winner and 1 parent/guardian to Prudential’s headquarters in Newark, NJ). Winners will also be invited to participate in coaching opportunities from Prudential employees and will receive skills development opportunities and a trophy.  

The Program Partners expressly reserve the right to make any changes to the Awards details described above in their sole and absolute discretion. 

In the event that circumstances necessitate canceling the in-person event, referred to above as the Prudential Emerging Visionaries Awards Summit (as determined in the sole discretion of Prudential), a virtual event will be held and no all-expense paid trip will be provided to the Winners. 

The receipt of the Prizes may be subject to different taxes, such as income tax, social security, and indirect taxes. It is the Winner’s responsibility to comply with all applicable laws, including tax laws. Prizes will be granted as gross amounts, and any applicable tax will be due and payable by the Winner, except if applicable law explicitly provides for the withholding or other liability of the Program Partners with respect to the granting of such Prizes. All Prizes will be awarded only in U.S. Dollars (USD). 

INTELLECTUAL PROPERTY  

Applicants who submit an Entry that contains the Applicant’s intellectual property retains their individual rights to their work and any derivative works.  

By submitting an Entry, you certify and warrant that your Entry is original and that you are the sole and exclusive owner and right holder of the submitted Entry and that you have the right to submit the Entry for the Program. Further, you agree not to submit any Entry that (1) infringes any third-party proprietary, intellectual property, industrial property, personal rights or other rights, including without limitation, copyright, trademark, patent, trade secret or confidentiality obligation; or (2) otherwise violates applicable law in any jurisdiction in the world. 

Nothing in these Terms shall be considered or is intended to confer or transfer to a party any ownership right or interest in any intellectual property (such as trademark, design, symbol, etc.) of another party. 

COMMUNICATIONS RIGHTS 

These Terms grant the Program Partners the right to share your Entry information (including without limitation your name, likeness, and the name and details of your project) that was submitted for public view with journalists, via social media, on Program Partners’ website, or in Program Partners’ publications. The Program Partners may use, reproduce, distribute, transcribe, translate, promote, broadcast, exhibit, publicly display material you have provided or made available for public use in your Entry. 

JURISDICTION 

These Terms are subject to change at any time in the sole discretion of the Program Partners; any change will be published on https://challenges.changemakers.com/challenge/emergingvisionaries. The terms and administration of the Program will be governed by the laws of United States and the relevant court of Virginia shall have jurisdiction. 

NO RECOURSE TO JUDICIAL OR OTHER PROCEDURES: To the extent permitted by law, the rights to litigate, to seek injunctive relief or to make any other recourse to judicial or any other procedure in regard to the judgment of the Awards Jury are hereby excluded, and each Applicant expressly waives any and all such rights.
