Ambition Accelerator Program Terms and Conditions

 

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO APPLY OR PARTICIPATE. A PURCHASE WILL NOT INCREASE CHANCES OF SELECTION AS AN PRIZE RECIPIENT.   

THE FOLLOWING PROGRAM IS GOVERNED BY THESE TERMS AND INTENDED FOR PARTICIPATION IN THE UNITED STATES AND U.S. TERRITORIES ONLY AND SHALL BE CONSTRUED AND EVALUATED ACCORDING TO UNITED STATES LAW. BY APPLYING FOR A PRIZE, YOU ACKNOWLEDGE AND AGREE TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS STATED HEREIN. VOID WHERE PROHIBITED.

 

INTRODUCTION:

These Terms and Conditions (the “Terms”) apply to the Ambition Accelerator created from a partnership between Taco Bell Foundation, Inc. and Ashoka (collectively the “Challenge Partners”).

DEFINITIONS  

“You” or “Your” refers to any individual that makes an eligible submission through the Service with the intention of participating in the Challenge. Within these Terms, "You” may also be referred to as “Applicant” or “Participant”. “Authorized account holder” is defined as the natural person who is assigned an e-mail address by an Internet access provider, on-line service provider or other organization which is responsible for assigning email addresses or the domain name associated with the submitted email address.

“Applicant Information” refers to Personal Data and Sensitive Personal Data contained in an Applicant’s Entry or in a prospective Applicant’s proposed entry through the Service.  

“Application” refers to any eligible submission made by an Applicant through the Service that contains relevant information, including Personal Data or Sensitive Personal Data, for the purposes of participating in the Challenge. Application shall be read interchangeably with Entry and Submission.

“Challenge Jury” refers to the individuals selected, in the sole discretion of the Challenge Partners, to judge the Entries, which may include Challenge Partner employees or members of their larger networks or others who are not employed by or otherwise affiliated with the Challenge Partners.

“Personal Data” refers to any information that relates to an identified or identifiable natural person, including but not limited to the following categories of information: name, address, email address, age, social media handle, photographs, and contact information; organization (including the organization’s name, website, phone number, and address), fields of work, languages, and location; username and password; the results of any questionnaires that you respond to; and your personal interests.

“Sensitive Personal Data” refers to Personal Data revealing racial or ethnic origin, political opinions, religious or philosophical beliefs, trade union membership, genetics, biometrics, health and disability information, immigration / refugee status and information regarding a person’s sex life or sexual orientation and how they gender identify.  

“Service” refers to Ambition Accelerator https://changemkrs.org/ambition hosted by Wazoku and affiliated websites or services that are used and operated for the purpose of executing or administering the Program.

“Sponsor” refers to Taco Bell Foundation, Inc.  

 

1. Eligibility Requirement: The Ambition Accelerator brought to you by Taco Bell Foundation, Inc. (“Sponsor”) and funded by the Yum! Brands’ Unlocking Opportunity Initiative is open only to individuals who, as of the last day of the Program Period meet all the following eligibility criteria:

  • Participants must be at least 16 years of age at the time of application and not older than 26 by the end of the program period.  
  • Participants must be residents of the United States or U.S. Territories.  
  • Applicants can apply with a team member or as an Individual, however, applicants selected to participate in the Summit and to compete for the Grand Prize, are required to have a team member accompanying them.
  • Limit one entry per person/team. A participating team at the Summit can only be comprised of two people.
  • Submissions must be made by the leader/creator of the idea/venture.
  • Two participants of eligible ages (plus ONE chaperone if any participant is under 18) per selected team must be available to participate in the Ambition Accelerator Summit Friday, November 3 – Monday, November 6, 2022, dates subject to change.
  • Each team invited to the in-person Ambition Accelerator Summit, including chaperones, will be required to provide proof of a completed primary vaccination series against Covid-19.
    • The Ambition Accelerator organizing team will accept all vaccines approved by the CDC (Center for Disease Control) for travel to the US. Attendees are highly encouraged to receive a booster vaccination, if eligible.
    • Attendees who choose to provide proof of a completed primary vaccination series must adhere to the following guideline: the final vaccine must be dated at least 14 days (about 2 weeks) prior to the first date of the event.
    • Taco Bell Corp. Employees that work at the Taco Bell Restaurant Support Center (RSC), all Employees and their immediate family of Ashoka, Yum!, Taco Bell Foundation, Inc. Taco Bell Corp., and participating advertising and promotional agencies directly involved in planning this Program are NOT eligible to apply or receive a prize through this program. Immediate family includes but is not limited to parents, children, siblings, and spouses.  
    • Taco Bell Restaurant team members ARE eligible to apply to the Ambition Accelerator.  

     

2. The Program Period: The Program begins on May 3, 2022, at 8:00:00 a.m. Pacific Standard Time (“PST”) and ends on July 21, 2022, at 11:59:00 p.m. Pacific Standard Time (“PST”) (the "Program Period”). Prize recipients will be selected between July 21, 2022, and August 22, 2022 (the “Screening Period”).

How to Apply: visit https://changemkrs.org/ambition (the “Platform”) during the Program Period and follow the on-screen instructions to complete and submit the online application form, and upload your Video (altogether, an “Application”). All applications will be reviewed for content and compliance with the submission guidelines below to determine eligibility. Applications must be in English. Videos may be four (4) minute maximum in length and must be at least 2 (minutes) minimum in length

  • VIDEO SUBMISSION] (required): Share a video (2-4 minutes long) that best highlights how you and your solution will make an impact and motivate others to act to: Changemaker Quality, Connection, Creativity, and Commitment.  
  • Short Answer Question [1000 CHARACTERS] (required): Fueling Creativity: What problem are you hoping to solve, and how would/are you tackling it? Share your specific approach.)
  • Short Answer Question [1000 CHARACTERS] (required): Igniting Connections: Why is tackling this issue important to you and why does solving it matter for the community you are connected to?
  • Short Answer Question [1000 CHARACTERS] (required): Ambitious Commitment: How will you know your project is successful, and how have you planned to get there?  
  • Short Answer Question [1000 CHARACTERS] (required): Bold Changemaking: How does or would your solution inspire others at the center of your project to act, or influence others to get involved with the issue you are addressing? 
  • Short Answer Question [1000 CHARACTERS + FILE SUBMISSION] (Optional): Is there anything additional that you would like to share that you have not been able to express in the previous four questions?  

 

3. Program Selection and Notification:  

    a. Ambition Accelerator Innovator “Stand Outs” (Early Entry Contenders) will be selected and notified by the first week of July 2022

    b. Ambition Accelerator Innovator Ideas will be selected and notified the week of August 15, 2022

    c. Ambition Accelerator Ambassador ideas will be selected and notified the week of August 22, 2022

    d. Ambition Accelerator Leaders ideas will be selected and notified prior to the Summit.  Ambition Accelerator Leaders will be notified of the prize they will receive during the Ambition Accelerator Summit (November 2022)

    e. Ambition Accelerator Champion ideas will be selected and notified prior to the Summit.  Ambition Accelerator Champion will be notified of the prize they will receive during the Ambition Accelerator Summit (November 2022)

Sponsor or its designee(s) (to be determined by Sponsor in its sole discretion) will generally consider the following characteristics or attributes when reviewing eligible applications:   

  • Bold Changemaking: The applicant is interested in becoming a changemaker, someone who demonstrates empathy and thoughtfulness, and is activating others as changemakers or continuing their changemaking journey. They are ready to turn their ambitions into action or are already taking steps to make a real difference in their communities.
  • Fueling Creativity: The applicant is challenging the norm, tackling a new challenge, or bringing a unique perspective to an existing problem, while fueling a culture of changemaking in their communities and beyond
  • Ambitious Commitment: The applicant is ready to stick to their project and to make a lasting impact. The changemaker has a plan to grow their idea or venture and is determined to disrupt existing systems and lead the change they want to see in the world.  
  • Igniting Connections: The applicant is focused on making a difference in a community that is close to them and their experiences. They are open to or already connecting with others, working together to inspire action, change mindsets, and mobilize their communities.

 

4. Prize Recipient List: The Taco Bell Foundation and Ashoka will make available, upon demand or by posting to https://changemkrs.org/ambition-accelerator or www.tacobellfoundation.org a list of prizes recipients and information on their project following the notification period.

 

PROGRAM TERMS AND CONDITIONS:

PARTICIPATION REQUIREMENTS AND AGREEMENTS  

Participant must meet all the eligibility requirements listed above, entries must be submitted in English and an Applicant is not allowed to submit more than one application. By applying, the Applicant agrees to be bound by these Terms and Conditions and by the decisions of the Challenge Partners, which are final and binding on all matters pertaining to the Challenge. Prizes are awarded in the sole discretion of the Challenge Partners and without warranty of any kind from the Challenge Partners or any of their affiliated companies, express or implied, without limitation, except where this would be contrary to applicable law or regulation.  

Application Guidelines: By applying, you agree that your application is gratuitous and made without restriction, and will not place Sponsor under any obligation, and that during the period of the challenge, the Sponsor is free to disclose the ideas contained in the application on a non-confidential basis to anyone or otherwise use the ideas without any additional compensation to you. You acknowledge that, by acceptance of your application, the Sponsor does not waive any rights to use similar or related ideas previously known to the Sponsor, or developed by its employees, or obtained from sources other than you. Sponsor reserves the right to, and may or may not, monitor/screen applications. By applying, you acknowledge that Sponsor has no obligation to use or post any application you submit.    

As determined by the Sponsor, in its sole discretion, applications must meet the following guidelines:

Must comply with these Terms:

    A. Cannot be sexually explicit or suggestive, unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group, profane or pornographic, or contain nudity or any materially dangerous activity.

    B. Cannot promote alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous, or any political agenda or message.

    C. Cannot be obscene or offensive or endorse any form of hate or hate group; all as determined by Sponsor in its sole discretion.

    D. Cannot promote terrorist acts such as providing instructions on how to assemble bombs, grenades and other such weapons or provide instructional information about illegal activities.

    E. Cannot defame, misrepresent or contain disparaging or slanderous remarks about Sponsor, its supporters, or any people, products or companies.

    F. Cannot use or otherwise display trademarks or logos owned by others without permission (except that Sponsor’s name or trademarks may be included in the application) or advertise or promote any brand or product of any kind, or contain any personal identification, such as license plate numbers, personal names, e-mail addresses or street addresses.

    G. Cannot infringe copyrighted materials owned by others (including photographs, sculptures, paintings and other works of art or images published on or in websites, television, movies or other media) without permission; Sponsor does not permit the infringement of others’ rights and any use of materials not original to the applicant (except copyrighted materials owned by Sponsor) is grounds for disqualification from the Program.  

    H. Do not copy your favorite movie, book or photo or include materials, images, graphics, music or trademarks belonging to any third party or incorporate the names, voices, likeness or personas of any party other than yourself.

    I. No background artwork should appear in an application unless it is an original work of the applicant. Any artwork, murals, etc. that can be seen in applications must be created solely by the applicant or the applicant must be the sole owner of all copyright interests therein.

    J. Cannot contain materials embodying the likeness, photographs, or other indicia identifying any person, living or dead.

    K. Cannot communicate messages inconsistent with the positive images and/or goodwill to which Sponsor wishes to associate.

    L. It cannot itself be in violation of any law and cannot be filmed within a Taco Bell restaurant.

Any form of application other than that described herein is void. Those who do not follow all of the instructions or abide by these Terms or other instructions of Sponsor may not be eligible for selection.  Should multiple users of the same e-mail account apply, and a dispute thereafter arises regarding the identity of the applicant, the authorized account holder of said e-mail account at the time of application will be considered the applicant. Automated applications are prohibited, and any use of automated devices will result in disqualification.  The information you provide will be used as provided in the Taco Bell privacy policy, located at https://www.tacobell.com/legalnotices/privacy-policy.  All applicants agree to receive e-mail communications from Sponsor, Releasees (as defined herein) and partnering entities and organizations.

 

DATA PROTECTION  

The information You submit through the Service will be held, used, and disclosed to others. When you submit application Information to the Service, you are consenting to it being submitted to each of Taco Bell Foundation (the sponsor of the Program), Ashoka (the administrator of the Program as well as other programs), and Wazoku (the host of the Service), for each of their use pursuant to their own privacy policy. Applicant Information will be accessible by Ashoka and Partner] and the host of the Service (Wazoku).   

Please take note that:  

(A) Your username (which may be Your full name), profile photo, city and state and the identity of other communities at changemakers.com may be visible to other applicants; and  

(B) Your username, the user image, profile photo, project title, summary, sector, theme, focus, stage, URL, social media handles, location of impact and other information about your project will be visible by other applicants, as well as by the public.   

To evaluate your application, the selection team for all review phases and the peers joining community review activities will have access to the information described in (A) and (B) above, as well as to your pitch video.   

For some of the information described in (A) and (B) above, you can control whether that information is viewable by other applicants and the general public in your account settings by logging in into the Program platform, accessing the community and going to "Settings" in the user menu. Your username, “About Your Project” narrative, and Cover Image will be viewable by other Applicants and the general public, and You will not be able to modify the “Settings” on these items.

Ashoka’s Changemakers’ Privacy Policy at https://www.changemakers.com/privacy-policy and Terms of Use at https://www.changemakers.com/terms-service and Wazoku’s Terms of Use at https://www.wazoku.com/terms-of-use .

Each of the Challenge Partners may share Your information with its third-party service providers exclusively for purposes related to the Challenge, or as otherwise provided in the privacy policy. To the extent permitted by applicable law, under Your explicit consent, Ashoka may use Your information to send you communications related to the Challenge (including future year’s programs or related alumni events), Ashoka initiatives similar to the Program, funding opportunities that come through partners and universities, media opportunities with key thought leaders, and prize opportunities from within Ashoka’s network. If you explicitly choose so, Taco Bell Foundation or its third-party service providers acting on its behalf, may also contact you, or your parent or guardian, after the Challenge to notify You of future opportunities offered by Taco Bell Foundation or alumni events related to the Challenge. Each Challenge Partner seeks to use reasonable measures to protect the applicant Information within its own organization. Neither is responsible for the acts or omissions of the other, nor of Wazoku or of any other third party.

Applicant Information will be held and processed by the Challenge Partners during the duration of the Program and may be retained by the Challenge Partners for as long as required or permitted under applicable laws. Whenever a particular Challenge Partner is indicated as collecting information, that Challenge Partner will be the processor for the applicable information. Applicants, and parents or guardians of Applicants, can request access to, modification of, or deletion of any of their Applicant Information, to the extent permissible under applicable data protection laws, by contacting Ashoka via email at [email protected].

 

CHALLENGE PRIZE  

The Partner will grant the Challenge Winner) (the “Winner(s)”) a total investment of up to $200,000.00 (the “Program Value”), which will be divided among the various winners (each distribution and any related benefits, a “Prize”). The Challenge Jury may decide to award the Prize funds to more than one Winner, but to a maximum of two hundred and twenty (220) Winners.

The value of each Winner’s Prize will reflect the values outlined in the prize structure and will be determined at the sole discretion of the prize selection Jury. The aggregate value of the Prizes for each winner/each winner team will not exceed twenty-six thousand ($26,500.00) Dollars.

The receipt of the Prizes may be subject to different taxes, such as income tax, social security, and indirect taxes. It is the Winner’s responsibility to comply with all applicable laws, including tax laws. Prizes will be granted as gross amounts, and any applicable tax will be due and payable by the Winner, except if applicable law explicitly provides for the withholding or other liability of the Challenge Partners with respect to the granting of such Prizes. All Prizes will be awarded only in United States Dollar (USD).  

At the end of the Program Period, a total of approximately two hundred and twenty (220) eligible applicants will be selected as recipients of prizes as outlined in Section 4, below. Selected prize recipients will be notified in-person, by mail, by email, by phone or by any other means at the sole discretion of Sponsor on or about November 7, 2022 (“Notification”). Sponsor may notify recipients earlier.   

Each applicant acknowledges and agrees that potential award recipients may be subject to a background check (which might include, without limitation, civil and criminal court records, and police reports). Sponsor reserves the right in its sole discretion to disqualify any applicant if the results of such background check/audit reveals that the applicant is either not eligible to participate in the Program or if the Sponsor determines, in its sole discretion, that participation of applicant might reflect negatively on Sponsor, or if the application contains false, deceptive, or incomplete information.  

Potential prize recipients are also subject to verification, including verification of age. Each prize recipient (and his/her/their parent/legal guardian, if applicable) may be required to execute and return an affidavit of eligibility and liability release and where lawful, a publicity release within thirty (30) days of attempted notification. If a potential prize recipient is found not to be eligible or not in compliance with these Terms  for any reason, declines the opportunity to receive a prize, or if notification is returned as undeliverable, another applicant will be selected as a potential prize recipient, in Sponsor’s sole discretion (even if the prize recipient’s name has already been announced). Sponsor is not responsible for any change of email address or other contact information of applicants.

All prizes will be directed by Sponsor to Partner (Ashoka), who will work with selected prize recipients to administer prize funds to the prize recipient upon the recipient’s selection. Selected prize recipient agrees that he/she/they will promptly provide Ashoka with all information required to administer the prize. Prize will be distributed to primary representative.  

As a condition of receiving the prize, perspective recipients must either attend in-person, virtual onboarding seminar, or watch the playback of the seminar.  

To avoid forfeiting the funds, recipients must accept the prize within six (6) months of notification of the prize and begin to use the funds within one (1) year of notification of the prize.  

Sponsor reserves the right to award more or less than $500 and more or less than $26,500.00 in prizes based on available resources and as determined by Sponsor in its sole discretion. If Sponsor does provide additional prizes, those additional prize recipients will be chosen based on similar selection criteria, however, Sponsor may, in its sole discretion, (i) modify the prize amount for each additional prize, and (ii) limit the selection of recipients to legal residents of certain states, regions, counties or cities.  The decisions of Sponsor are final and binding in all matters relating to this Program.  Prizes are non-transferable and no cash equivalent or substitution of a prize is offered, except at the sole discretion of the Sponsor. Prize recipients are responsible for all taxes and fees associated with prize receipt and/or use, regardless of whether the prize is used, in whole or in part. Receipt of a prize is contingent upon fulfilling all requirements set forth herein.   

The Winner(s) agrees upon receipt of the Prize to use the funds exclusively to support the furtherance of the winning Entry and the purpose of the initiative as outlined in the Entry only.  Following the awarding of the Prize, the Challenge Partners reserve the right to review documentation of the disbursements of the money paid to the winning Entries.  Winners agree to regular and appropriate monitoring and evaluations by the Challenge Partners, as well as to provide progress reports as may be required by the Challenge Partners.

Early Entry Prize: All applicants with eligible entries submitted by June 1, 2022 (11:59 pm PST) will automatically be considered for an Early Entry Prize and will receive Ashoka’s feedback on how to improve their application before the end of the overall Challenge application deadline of July 21, 2022 (11:59 pm PST). Six (6) applicant ideas from this group will be selected by the Challenge Program Partners to receive a $500.00 Early Entry Prize each.  

Ambition Accelerator Prize Recipients:   

Two hundred and twenty (220) applicants ideas will receive $500.00 each and the Opportunity to receive additional feedback on their projects from Ashoka Staff and Taco Bell employees. This includes the early entry prize recipients.

Twenty-five (25) applicant ideas will receive $1,000.00 Cash Prize per team and Participation in the Taco Bell Ambition Accelerator Summit featuring skills-building workshops and networking events, fostering connections with young changemakers from across the United States and its territories.  

Four (4) applicant ideas will receive a $10,000.00 Additional Cash Prize per team (for a maximum award of $11,500.00) and participation in the Taco Bell Ambition Accelerator Summit featuring skills-building workshops and networking events, fostering connections with young changemakers from across the United States and its territories. Applicants will also receive formal recognition of their contributions to the broader movement on the Ambition Accelerator website and social media platforms.

One (1) applicant idea will receive a $25,000.00 Additional Grand Prize per team (for a maximum award of $26,500.00) and participation in the Taco Bell Ambition Accelerator Summit featuring skills-building workshops and networking events, fostering connections with young changemakers from across the United States and its territories.  Applicants will also receive formal recognition of their contributions to the broader movement on the Ambition Accelerator website and social media platforms.

The aggregate value of the Prizes for any winning team will not exceed $26,500.00.  

The Challenge Partners expressly reserve the right to make any changes to the prize details described above in their sole and absolute discretion.  

If circumstances necessitate canceling the in-person event, referred to above as the Ambition Accelerator Summit, as determined in the sole discretion of [Ashoka and/or Taco Bell Foundation), a virtual event will be held and no travel-related prize components will be provided to the Winners.   

Prize (approximately 220 total): Sponsor will generally evaluate applications and provide awards ranging from $500.00, $1,000.00, $10,000.00, and $25,000.00.

Attending the Summit includes:

  • Domestic roundtrip coach airfare for team and one chaperone (if applicable). Team and chaperone to fly together.
  • Four (4) days and three (3) nights in one (1) shared room standard double occupancy hotel accommodations at hotel selected by Challenge Partners.
  • Ground transportation to and from the airport and hotel
  • Meals during the Summit

Challenge Partners will arrange the flight, hotel and transportation. Travelers must have all necessary identification and/or travel documents required for travel and are solely responsible for obtaining such valid identification (e.g., a valid U.S. driver’s license or a valid U.S. passport) prior to travel and the associated costs for these requirements. Challenge Partners shall not be responsible for any cancellations, delays, diversions or substitution or any act or omissions whatsoever by the air carriers, hotels or other transportation companies or any other persons providing any of these services and accommodations to passengers including any results thereof such as changes in services or accommodations necessitated by same. Challenge Partners shall not be liable for any loss or damage to baggage. Travelers are responsible for obtaining their own medical and life insurance and the associated costs. All travel is subject to any and all restrictions instituted by the Department of Defense and/or Department of Homeland Security, as required.  

 

5. General Award Conditions & Administration:

Total value of all awards: Up to $200,000.00.  

 

INTELLECTUAL PROPERTY   

Applicants who submit an Entry that contains the Applicant’s intellectual property retains their individual rights to their work and any derivative works.  

By submitting an application, you warrant and represent that it: (a) is your original work, (b) does not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity; and (c) that publication of the application via various media including Web posting, will not infringe on any third-party rights. Any such applicant will indemnify and hold harmless, Sponsor and Releasees (defined below) from any claims to the contrary.

By submitting copyrighted material, you certify that you have obtained the necessary permissions from the copyright owner in writing.  You assume responsibility for any associated penalties and costs incurred because of a copyright violation related to this material.  

Nothing in these Terms shall be considered or is intended to confer upon or transfer to a party any ownership right or interest in any intellectual property (such as trademark, design, symbol, etc.) of another party.   

YOU ACKNOWLEDGE THAT APPLICATIONS POSTED TO THE WEBSITE (IF ANY) ARE THE VIEWS/OPINIONS OF THE INDIVIDUAL APPLICANT AND DO NOT REFLECT THE VIEWS OF CHALLENGE PARTNERS IN ANY MANNER. Challenge partners reserve the right to accept or reject any application in their sole discretion. Any waiver of any obligation hereunder by Challenge partners does not constitute a general waiver of any obligation to applicants. Challenge partners reserve the right to waive the submission requirements set forth herein in its reasonable discretion.   

 

COMMUNICATIONS RIGHTS:

These Terms grant the Challenge Partners the right to share Your Entry information (including without limitation Your name, likeness, and the name and details of Your project) that was submitted for public view with journalists, via social media, on Challenge Partners’ website, or in Challenge Partners’ publications. The Challenge Partners may use, reproduce, distribute, transcribe, translate, promote, broadcast, exhibit, or publicly display material You have provided or made available for public use in Your Entry.  

All applicants agree to receive e-mail communications from Sponsor, Releasees (as defined herein) and partnering entities and organizations.   

BY SUBMITTING AN APPLICATION, APPLICANT ACKNOWLEDGES THAT HIS/HER/THEIR APPLICATION, NOTIFICATION (AS DEFINED HEREIN) INCLUDING HIS/HER/THEIR VIDEO, MAY BE POSTED ON SPONSOR’S WEBSITE, AT SPONSOR’S DISCRETION. SUBMISSION OF AN APPLICATION GRANTS SPONSOR, ITS AGENTS, AND TACO BELL CORP. THE IRREVOCABLE, PERPETUAL, ROYALTY-FREE LICENSE AND RIGHT TO PUBLISH, USE, ADAPT, EDIT, PUBLICLY PERFORM AND/OR MODIFY SUCH APPLICATION, NOTIFICATION AND VIDEO IN ANY WAY, IN ANY AND ALL MEDIA, WITHOUT LIMITATION, AND WITHOUT PAYMENT OR CONSIDERATION TO THE APPLICANT.

 

JURISDICTION  

These Terms are subject to change at any time in the sole discretion of the Challenge Partners; any change will be published on https://changemkrs.org/ambition . The terms and administration of the Program will be governed by the laws of United States and the relevant court of California shall have jurisdiction.  

NO RECOURSE TO JUDICIAL OR OTHER PROCEDURES: To the extent permitted by law, the rights to litigate, to seek injunctive relief or to make any other recourse to judicial or any other procedure regarding the judgment of the Awards Jury are hereby excluded, and each Applicant expressly waives all such rights.

Where permitted by law, by entering, applicants agree that all issues and questions concerning the construction, validity, interpretation and enforceability of these Terms, applicant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Program, shall be governed by, and construed in accordance with, the laws of State of California, USA, without giving effect to any choice of law or conflict of law rules, and any matters or proceedings that are not subject to arbitration as set forth in these Terms and/or for entering any judgment on an arbitration award, shall take place in the State of California, in Orange County, California. By entering, applicants consent to the jurisdiction and venue of the federal, state and local courts located in Orange County, California, USA and waive any challenge to such venue.

 

LIMITATION OF LIABILITY:

Ashoka and the Sponsor are not responsible for incorrect or inaccurate information in connection with this Program, whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Program or by any technical or human error which may occur in the processing of applications. Sponsor is not responsible for computer system, email, phone line, hardware, software or program malfunctions, or other errors, failures or delays in computer transmissions or network connections that are human or technical in nature. Sponsor reserves the right at its sole discretion to disqualify any individual applicant (and his/her/their application) who tampers with the application process. If, for any reason, the Program, in the sole opinion of Sponsor, is not capable of running as planned by reason of fraud, virus, bugs, or any other causes which, in sole opinion of the Sponsor, corrupt or affect the administration, security, fairness, integrity or proper conduct of this Program, Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the Program.

8.  Binding Arbitration: Any controversy or claim arising out of or relating to this Program shall be settled by binding arbitration in a location determined by the arbitrator as set forth herein (provided that such location is reasonably convenient for claimant), or at such other location as may be mutually agreed upon by the parties, in accordance with the procedural rules for commercial disputes set forth in the Comprehensive Arbitration Rules and Procedures of JAMS ("JAMS Rules and Procedures") then prevailing, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The arbitrator shall be selected pursuant to the JAMS Rules and Procedures. The arbitrator shall apply California law consistent with the Federal Arbitration Act and applicable statutes of limitations and shall honor claims of privilege recognized at law. In the event that the claimant is able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, Sponsor will pay as much of the claimant’s filing and hearing fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive. If any part of this arbitration provision is deemed to be invalid, unenforceable or illegal (other than that claim will not be arbitrated on a class or representative basis), or otherwise conflicts with the rules and procedures established by JAMS, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. If, however, the portion that is deemed invalid, unenforceable or illegal is that claims will not be arbitrated on a class or representative basis, then the entirety of this arbitration provision shall be null and void, and neither claimant nor Sponsor shall be entitled to arbitrate their dispute. Upon filing a demand for arbitration, all parties to such arbitration shall have the right of discovery, as provided in the JAMS Rules and Procedures, unless further extended by mutual agreement of the parties. THE ARBITRATION OF DISPUTES PURSUANT TO THIS PARAGRAPH SHALL BE IN THE APPLICANT’S INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF OTHER PERSONS OR PARTIES WHO MAY BE SIMILARLY SITUATED. DO NOT APPLY IF YOU DO NOT AGREE TO HAVE ANY CLAIM OR CONTROVERSY ARBITRATED IN ACCORDANCE WITH THESE TERMS. BY PARTICIPATING IN THIS PROGRAM, EACH APPLICANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE PROGRAM, OR ANY AWARD AWARDED, WILL BE RESOLVED INDIVIDUALLY THROUGH BINDING ARBITRATION AS SET FORTH ABOVE, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY); (3) UNDER NO CIRCUMSTANCES WILL ANY APPLICANT OR AWARD RECIPIENT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND APPLICANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) APPLICANT’S REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND APPLICANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO EVERY APPLICANT.

 

INDEMNITY:  

By applying, all applicants (or applicants’ parent/legal guardian, as applicable) agree and covenant on behalf of themselves and their family, heirs, personal representatives executors, assigns and insurers, (a) to release, acquit, hold harmless, waive and forever discharge Sponsor, Ashoka, Taco Bell of America, LLC, Taco Bell Corp. and their parent company, subsidiaries, affiliates, franchisees and licensees and their respective officers, directors, members, managers, employees, contractors and agents (collectively, “Releasees”) from any and all claims, demands, damages, debts, costs, fees, obligations, loss, expenses, compensation, actions or causes of action whatsoever, of every nature, character and description, whether known, unknown, discovered, undiscovered, suspected, or unsuspected, including death, or property damage (collectively, “Claims”), including but not limited to Claims arising on account of, or in any way growing out of, resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any items received in connection with acceptance of an award, participation in this Program or any award-related activities; and (b) except where legally prohibited, award recipient (or recipient’s parent/legal guardian, as applicable) grants (and agrees to confirm that grant in writing) permission to Sponsor and those acting under its authority the right to the use of applicant’s name, picture, likeness, voice, Video, biographical information and statements, at any time or times, for advertising, trade, publicity and promotional purposes without additional compensation, in all media now known or hereafter discovered, worldwide and on the Internet and World Wide Web, without notice, review or approval.

 

WAIVER AND RELEASE FORM FOR EVENT ATTENDEES:

Attendee acknowledges that he/she/they are/is voluntarily attending the Ambition Accelerator Summit, occurring on November 3 -6, 2022. Attendee understands that attendance at the Summit is completely optional and in no way creates an employment relationship. The Conference Summit is scheduled to be held in the Greater Los Angeles Metro Area, and Attendee accepts full responsibility for any risk to Attendee’s health, safety, and well-being associated with physical attendance at the Summit.   

The Company is not responsible for any personal injury or illness (including any physical or emotional injuries or illness) or any property damage resulting from Attendee’s participation in the Summit. Attendee understands the risks associated with COVID-19, including potential sickness, hospitalization, disability, death, inability to work, leave from work and quarantine which may result from attendance at the Summit.  Attendee releases and waives all claims, charges, complaints, causes of action, damages, liabilities, expenses (including legal expenses and attorney fees) or the like that Attendee had, now has, or may claim to have against Taco Bell Corp., Taco Bell of America, LLC and its  parent company, partners, agents, stockholders, directors, officers, employees, affiliates (and parent company, partners, agents, stockholders, directors, officers and employees of such affiliates) (collectively, the “Company”), and all Company successors and assigns, as well as Company’s agents relating to or arising out any claimed injury or illness.

Participating vendors of associated events may request personal information, and if so, such shared information is strictly between the vendor and the Attendee.  Participating vendors are solely responsible for complying with local rules and regulations, including but not limited to privacy laws related to Attendee’s personal information.   

Attendee hereby grants, releases, and discharges to the Company the rights arising from Attendee’s visual appearance, including the right to use any image resulting from photographs and CCTV, alone and in combination with the contact information that Attendee provides, for all general purposes relating to safety, contact and communication, and research. Attendee consents to the Company and authorized employees and contractors using Attendee’s personal information to contact the Attendee by email during and for a reasonable time after the Summit. Attendee further agrees to provide information in connection with the COVID-19 policies of the Company, to be used as described in those policies. This release shall inure to the benefit of the Company or contractors acting within their capacities for the purposes described herein. Attendee understands that all personal information being collected for these purposes shall be used for public safety and releases and agrees to hold harmless any and all claims, demands for damages, or liabilities of any kind arising from the use of this personal information, including its disclosure to third parties.

If the Company-invited Attendee is a minor and will be accompanied by a plus one Attendee who is a chaperone, the Attendee must be the minor’s parent or legal guardian and consent to this Waiver and Release on behalf of such child or ward, and by doing so, warrant they have the authority to give such consent.
